Terms of Service

Acceptance

By accessing the Modex marketplace, including the public pages and any invited account, you agree to these Terms. If you do not agree, do not use the service.

Eligibility & access

Modex is invite-only during V1. You may only create an account using an invite code Modex has issued to you. You are responsible for maintaining the confidentiality of your magic-link emails and the actions taken under your account.

Acceptable use

  • Do not submit listings or content that you do not have the right to publish.
  • Do not attempt to circumvent role-based access controls (e.g., bank routes from a vendor org or vice versa).
  • Do not scrape, mirror, or resell marketplace data.
  • Do not upload malware, attempt to compromise the platform, or probe for vulnerabilities without written authorization.
  • Vendors are responsible for the accuracy of all model metadata, performance metrics, bias-fairness assessments, validation status, and attached documents.

Vendor representations

By publishing a listing you represent and warrant that (a) the model or solution you list does not infringe third-party rights, (b) all performance and validation claims are substantively accurate as of the publish date, and (c) you have authority to bind your organization to these Terms.

Bank representations

By inquiring about a listing you represent that you are evaluating the model on behalf of a regulated financial institution and that any reference to your organization in the inquiry is authorized.

No professional advice

Information on Modex — including diligence packs, performance metrics, and validation statuses — is provided by vendors and offered as marketplace metadata. Modex is not a substitute for your own model risk management, regulatory advice, or independent validation work.

Intellectual property

Modex retains all rights in the platform itself. Vendors retain all rights in the model artifacts and documents they submit. You grant Modex a non-exclusive license to host and display your submissions for the purpose of operating the marketplace.

Termination

We may suspend or terminate access at any time for breach of these Terms or for operational, legal, or security reasons. You may stop using the service at any time; contact hello@modex.place to deactivate your account.

Disclaimer of warranties

The service is provided "as is" and "as available." Modex disclaims all express or implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the maximum extent permitted by law, Modex's aggregate liability arising out of or relating to these Terms or the service is limited to one hundred U.S. dollars (USD $100), and Modex is not liable for indirect, incidental, special, consequential, or exemplary damages.

Governing law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in New York County, New York.
